SERVICE AGREEMENT

This Service Agreement ("Agreement") governs all custom manufacturing projects, design services, other services, and any orders placed with High Life Tech LLC, doing business as High Life Tech, and the purchasing entity ("Client" or "you"). By engaging High Life Tech for services, approving a quote, or submitting a payment, you agree to be bound by the terms outlined below.

1. Mockups and Artwork

The 2D and 3D digital mockups provided by High Life Tech are intended to be the most accurate representation of the final product. However, due to the complexity of custom manufacturing, minor variations may occur.

  • Client Responsibility: It is the sole responsibility of the Client to inspect all mockups, renders, and specifications for accuracy — including spelling, dimensions, colors, and materials — prior to approval, regardless of whether a tech pack was provided.
  • Liability: High Life Tech is not financially responsible for finished products that match the approved mockup but fail to meet Client expectations due to details missed by the Client during the review process. Approval of a mockup constitutes binding acceptance of the design.

2. Intellectual Property (IP) Ownership

Any concepts, mockups, 3D renders, or digital files created by High Life Tech and its team remain the exclusive Intellectual Property of High Life Tech. We reserve the right to store these files indefinitely and forbid use without our written permission.

  • File Release: Unless explicitly agreed upon in writing, High Life Tech is not obligated to share or release original 2D or 3D source files (e.g., .AI, .PSD, CAD, .OBJ) created by our team, nor any files edited for production purposes.

3. Timelines & Delivery

Production timelines are estimates only and commence only after the official artwork has been approved by the Client. All timelines provided by High Life Tech are subject to variance based on project complexity, factory capacity, raw material availability, and the speed of client artwork approval and feedback.

High Life Tech shall not be liable for, nor obligated to compensate for, any delays, damages, losses, or costs arising from or related to:

  • Production delays, including but not limited to factory capacity constraints, equipment failures, labor shortages, quality control holds, or sampling and revision cycles.
  • Shipping and logistics delays, including but not limited to carrier delays, port congestion, freight rerouting, lost or damaged shipments, or warehouse processing times.
  • Customs holds, inspections, duties, tariffs, or import/export regulatory actions by any governmental authority.
  • Raw material shortages, supply chain disruptions, or vendor and supplier failures.
  • Force Majeure events, meaning any unforeseen circumstances beyond High Life Tech's reasonable control, including but not limited to acts of nature, severe weather, fire, flood, earthquake, pandemic or public health emergency, war, terrorism, civil unrest, strikes or labor disputes, cyberattacks, power or telecommunications outages, or changes in law or regulation.
  • Client-caused delays, including but not limited to late artwork approval, late payment, scope changes, or delayed provision of required information or materials.

In the event of any delay, High Life Tech will use commercially reasonable efforts to communicate updated timelines and mitigate impact, but accepts no liability for consequential, incidental, indirect, or special damages, including lost profits, missed event dates, or third-party penalties, regardless of cause.

The Client acknowledges that promotional and branded merchandise production involves inherent variability, and agrees that timelines are targets rather than guarantees.

4. Payment Terms

All sales are final. Because our products are custom manufactured for the Client and their specific use case, we do not allow for refunds. In addition, unless agreed upon otherwise, we do not allow for goods to be returned for repair or alteration. In the event that replacement of specific parts (e.g., chains) is required, they will be provided at the expense of the Client.

5. Payment Structure

Unless otherwise agreed upon by High Life Tech, 100% payment is required before production begins. No official mockups or renders will be generated until payment is received. For returning clients, at our discretion, a 50% deposit is required to begin production, with the remaining 50% balance due upon completion prior to shipping.

For orders with a remaining balance, payment is due immediately upon notification of project completion. We provide a 3-business-day grace period to complete payment. If the balance is not paid within 3 business days, a daily storage and penalty fee of 1% of the total order value will be added to the balance owed. (Example: on a $700 order, the fee is $7.00 per day.)

If the remaining balance remains unpaid after 10 business days, High Life Tech reserves the right to consider the goods abandoned. We reserve the right to liquidate, sell, or dispose of the finished product to recover production costs. The initial 50% deposit will be forfeited and applied toward labor and production expenses.

6. Shipping and Risk of Loss

6.1 Carriers

We utilize UPS, USPS, FedEx, and DHL for shipments.

6.2 Risk of Loss

All shipments are made FOB (Free on Board) Origin. This means High Life Tech's responsibility ends when the package is handed to the carrier. We are not financially responsible for packages that are lost, stolen, or damaged in transit, nor for packages delivered with missing contents due to carrier handling.

6.3 Insurance

We do not purchase additional shipment insurance by default. If the Client wishes to insure their package, they must notify High Life Tech in writing at least 3 days prior to shipping. The Client is liable for all additional insurance costs.

7. Inspection and Acceptance

7.1 Inspection Window

We pride ourselves on inspecting all goods and ensuring only the highest quality products are shipped. Upon delivery, the Client must inspect all items within 3 business days. Any claims regarding defects missed during our internal quality check must be reported within this 3-business-day window.

7.2 Limitations

  • Resale: High Life Tech is not responsible for defects reported after the items have been resold, distributed to end-users, or removed from their original packaging by a third party.
  • Negligence: High Life Tech is not responsible for damage resulting from customer negligence, improper care, or normal wear and tear.

8. Marketing Rights

Unless a Non-Disclosure Agreement (NDA) or alternative agreement is signed beforehand, High Life Tech reserves the right to showcase manufactured products for marketing and portfolio purposes after they have been released by the Client. This includes the use of product photography on social media, digital marketing materials, and physical print assets to demonstrate our manufacturing capabilities.

9. Acceptance of Terms

By working with High Life Tech — defined as submitting a payment, approving a mockup, or engaging us for services — you automatically acknowledge and agree to the Service Agreement outlined above.
